These Terms of Service govern access to and use of the Subsup website, software platform, and related services.
Subsup Inc. provides a software platform that helps businesses create subscription storefronts, manage recurring orders, set deadlines and capacity limits, and collect subscription-based payments. Subsup is a technology provider only and does not prepare, pack, ship, deliver, or otherwise fulfill merchant products.
You must be able to form a binding contract to use the services. You are responsible for the accuracy of your account information and for maintaining the confidentiality of your login credentials.
If you use Subsup as a merchant, you represent and warrant that:
If you subscribe to a merchant's storefront, you agree that subscription timing, order cutoffs, skips, pickup location changes, and cancellation rules may vary by merchant and by the subscription settings shown at checkout or in the storefront terms.
Subsup charges a platform and automation fee of 5% plus $0.55 per transaction unless otherwise disclosed. Stripe processing fees are separate and may apply to transactions and payouts. The platform fee may be added to the checkout total by default, as disclosed in the checkout flow.
Subscriptions may renew automatically until canceled. Customers are responsible for canceling before the applicable cutoff time. A cancellation may stop future renewals only and may not reverse charges already incurred for an active order period. Merchants may define skip windows, order deadlines, or minimum commitment periods where permitted by law.
Refund eligibility, credits, and dispute procedures are governed by the applicable merchant policy and applicable law. Subsup may assist with operational review, but Subsup does not control merchant fulfillment decisions except where required by law.
You may not:
Subsup and its licensors own all rights in the platform, software, branding, and documentation. You retain ownership of your own content, but you grant Subsup a worldwide, non-exclusive license to host, process, display, and transmit your content as needed to provide the services.
We may suspend or terminate access if we reasonably believe you violated these Terms, created risk, caused fraud or abuse, or if suspension is required by law, regulation, or a payment provider requirement.
The services are provided on an as-is and as-available basis to the fullest extent permitted by law. We disclaim all warranties not expressly stated in these Terms, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
To the fullest extent permitted by law, Subsup will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages. Our total liability for any claim relating to the services will not exceed the greater of $100 or the amount you paid to Subsup in the 12 months before the event giving rise to the claim, unless applicable law requires otherwise.
You agree to defend, indemnify, and hold harmless Subsup from claims, losses, liabilities, damages, and expenses arising from your content, products, storefront, violation of law, or breach of these Terms.
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles, except where applicable consumer law requires otherwise.
We may update these Terms from time to time. Continued use of the services after an update becomes effective constitutes acceptance of the revised Terms.
